These Terms of Service (the “Terms”) govern your access to and use of the website and services provided by Rootlake LLC, a Wyoming limited liability company (“Rootlake,” “we,” “us,” or “our”). By accessing our website or by entering into a separate written agreement to use our services, you agree to be bound by these Terms.
These Terms are addressed to business users and prospective customers. They are not addressed to end users of mobile applications that integrate the Rootlake SDK; end users interact with us only indirectly through those applications. Privacy disclosures applicable to end users are set out in our Privacy Policy.
1. Services
Rootlake provides cellular-network and location-data products and analytics services to business customers (the “Services”). The Services include collection, processing, aggregation, and delivery of mobile-network-performance and location data sourced from the Rootlake SDK integrated in third-party mobile applications.
The specific scope, pricing, and commercial terms applicable to a customer’s use of the Services are set out in a separate written agreement between Rootlake and that customer (a “Data License Agreement” or “Order Form”). In case of conflict between these Terms and a Data License Agreement or Order Form executed between Rootlake and a customer, the Data License Agreement or Order Form controls.
For application developers that wish to integrate the Rootlake SDK, the applicable contractual framework is a separate SDK Integration Agreement to be entered into with Rootlake.
Rootlake’s data products are derived from measurements collected outside the United States. The Services do not include the personal information of United States consumers.
2. Eligibility
Our Services are intended for business use only (B2B). By entering into an agreement with Rootlake, you represent that you are acting on behalf of a legally established business entity and have the authority to bind that entity to these Terms.
You further represent and warrant that any application or service through which you collect data on Rootlake’s behalf, or to which you provide data sourced from Rootlake, is not directed to, and is not knowingly used by, children below the applicable jurisdictional threshold (under 13 in the United States and the United Kingdom, and under 16 in the European Economic Area, except where a lower threshold has been adopted by an individual EU Member State). You are solely responsible for ensuring that your products comply with all applicable child-protection privacy laws, including the Children’s Online Privacy Protection Act (COPPA), the GDPR, and equivalent laws in other jurisdictions.
3. Use of data
3.1 License
Subject to these Terms and to any applicable Data License Agreement or Order Form between you and Rootlake, Rootlake grants you a non-exclusive, non-transferable, revocable license to access and use the data products you have purchased solely for your internal business purposes, unless broader rights are expressly granted in writing.
3.2 Restrictions
You agree not to:
- Resell, redistribute, or sublicense Rootlake data without prior written consent;
- Attempt to re-identify or de-anonymize any individual from the data, except to the limited extent expressly permitted in your written agreement with Rootlake;
- Use the data for any unlawful purpose or in violation of applicable regulations;
- Combine the data with other data sets in a manner that would breach applicable privacy law or the terms of your agreement with Rootlake;
- Reverse engineer any Rootlake system, software, or data processing methodology.
4. Intellectual property
All data products, methodologies, software, documentation, trademarks, and other materials provided by Rootlake are and remain the intellectual property of Rootlake LLC. Nothing in these Terms transfers ownership of any intellectual property to you, except for the limited licenses expressly granted herein or in a separate written agreement.
5. Confidentiality
Each party agrees to keep confidential any proprietary or non-public information disclosed by the other party in connection with these Terms or any related agreement, except as required by law or as necessary to perform obligations under those terms. The receiving party shall use the same standard of care to protect the disclosing party’s confidential information as it uses to protect its own confidential information of like kind, and in no event less than reasonable care.
6. Payment
Payment terms are as set forth in the applicable Data License Agreement or Order Form. Unless otherwise stated, all fees are quoted in U.S. dollars and are non-refundable. You are responsible for all applicable taxes, except for taxes based on Rootlake’s net income.
7. Warranties and disclaimers
Rootlake provides its data products and the Services on an “as is” and “as available” basis. While we strive for accuracy and completeness, we do not warrant that our data is error-free, complete, suitable for any particular purpose, or will meet your specific requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOTLAKE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOTLAKE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICES.
Our total cumulative liability for all claims arising out of or relating to these Terms shall not exceed the total amount paid by you to Rootlake during the twelve (12) months preceding the claim, unless a different limitation is expressly set out in a Data License Agreement or Order Form between you and Rootlake.
9. Indemnification
You agree to indemnify, defend, and hold harmless Rootlake, its officers, directors, employees, and agents from any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Services in violation of these Terms, (b) your violation of applicable law, or (c) your violation of the rights of any third party.
10. Term and termination
These Terms remain in effect until terminated. Either party may terminate by providing thirty (30) days’ written notice. Rootlake may suspend or terminate your access immediately if you materially breach these Terms and fail to cure the breach within thirty (30) days of written notice. Upon termination, you must cease all use of Rootlake data and destroy any copies in your possession, except to the extent retention is required by applicable law.
11. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wyoming, and the parties consent to the exclusive jurisdiction of those courts. The foregoing does not affect the dispute-resolution provisions of any Data License Agreement or Order Form, which control over this section to the extent they conflict.
12. Modifications
Rootlake reserves the right to modify these Terms at any time. We will notify existing customers of material changes through reasonable means. Continued use of the Services after changes are posted, or after the effective date of any modification communicated to a customer, constitutes acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14. Entire agreement
These Terms, together with any applicable Data License Agreement, SDK Integration Agreement, Order Form, or written addendum executed between you and Rootlake, constitute the entire agreement between you and Rootlake regarding the subject matter herein, and supersede any prior agreements or understandings on the subject matter.
